Acceptance of Terms
By accessing or using any part of our website or services, you agree to these Terms. If you do not agree to all the terms and conditions, you may not access the website or use the services. These Terms apply to all users, including but not limited to visitors, vendors, customers, and contributors of content.
Changes to the Terms
We may update, change, or replace any part of these Terms by posting updates on our website. It is your responsibility to check this page periodically for updates. Your continued use of our Services after changes are posted constitutes acceptance of those changes.
Using UVIO Services
Our Services include:
- Custom platform design and development
- Presentational website design and development
- Landing page design and development
- UI/UX design and consulting
- Full-stack development and integrations
You may request services through project agreements or ongoing retainer plans. Deliverables will be outlined in your agreement with us.
Payment & Refunds
Project services are billed as outlined in individual agreements. Payment terms are specified per project.
You may cancel ongoing services as described in your agreement. However, payments already made for completed work are non-refundable.
Refunds are only available for services explicitly marked as refundable in your agreement. No refunds will be issued for partially completed project milestones unless otherwise agreed in writing.
Consumer Rights & Right of Withdrawal
Our services are provided to businesses and professionals (B2B). As our clients are typically legal entities or individuals acting in a professional capacity, consumer protection regulations for private individuals (including the 14-day withdrawal right under OUG 34/2014) may not apply to your engagement with us.
If you are a private individual purchasing services from us, you retain the right to withdraw from a service agreement within 14 calendar days of signing, provided work has not yet commenced. Once project work begins at your explicit request, the right of withdrawal no longer applies to completed deliverables.
Intellectual Property
Using our Services does not grant you ownership of any intellectual property rights in our deliverables or content until full payment is received and ownership transfer is specified in your agreement. You may not use our content, branding, or logos without written permission.
Misuse of Services
You may not misuse our Services. This includes attempting to interfere with or gain unauthorized access to systems. Services must be used only as permitted by law and these Terms. We reserve the right to suspend or terminate Services in cases of misuse.
General Conditions
We reserve the right to refuse service to anyone for any reason. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Services without written permission.
Third-Party Services
We may provide integrations or tools from third parties. We provide these "as is" without warranties, and we are not liable for your use of such tools. Any new features or services introduced in the future will also be subject to these Terms.
Limitation of Liability
To the fullest extent permitted by law, UVIO (MVP DIGITAL S.R.L.) and its affiliates, officers, employees, agents, suppliers, and licensors shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or loss of goodwill, arising from your use or inability to use the Services.
Force Majeure
Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including but not limited to natural disasters, government actions, power failures, internet outages, or other circumstances that make performance impossible or unreasonably burdensome.
Dispute Resolution
We want to resolve any concerns quickly and fairly. If you have an issue with our services, contact us at office@uvio.ro and we will do our best to resolve it amicably within 15 business days.
If an amicable resolution is not reached, disputes shall be submitted to the competent courts in Romania at our registered office location.

Governing Law
These Terms are governed by the laws of Romania. EU regulations, including consumer protection law where applicable, take precedence over these Terms where required by law.
